TERMS: NET 10 DAYS. Client agrees to the terms and understands that a finance charge of one and one-half percent per month (ANNUAL PERCENTAGE RATE OF 18% or the maximum legal interest rate, whichever is lower) will be added to amounts not paid in 10 days. It is understood that the individual signing this Time Card/Contract is an authorized representative of the client, and hereby certifies that the hours are correct and the work was performed satisfactorily. Time and one-half applies to any time worked over 40 hours per week. There is a 4-hour minimum. Client agrees to pay the finance charge and all costs of collection including court costs and reasonable attorney’s fees. In the event of any litigation under this agreement the parties waive any right to jury trial and agree that venue shall be exclusively in Palm Beach County, Florida.
Client understands the rights of David Wood Temporaries, Inc. as the employer, and understands that the employees of David Wood Temporaries, Inc. represent a substantial investment to that firm and agrees not to employ directly or in any capacity, including employment through another service for the client’s benefit, the person named hereon for at least one year from the date of the last assignment. Accordingly, in consideration of services provided by David Wood Temporaries, Inc. client agrees to pay a transfer fee (liquidated damages) of 25% of the first years's annualized starting salary if the terms of this paragraph are violated. No reimbursement will be required if this employee worked for client through David Wood Temporaries, Inc for a period of 13 continuous weeks (each week is defined as a minimum of 40 hours worked) immediately preceding being hired as a permanent employee by client and client's account with David Wood Temporaries, Inc is paid in full.
Client understands that David Wood Temporaries, Inc. does not assume liability for any acts or omissions resulting from any work assigned to its employees and for any bodily injury, property damage, fire, theft, or collision claims arising out of the use of clients machinery, equipment, material or automotive equipment, whether owned or rented, while in the care, custody or control of David Wood Temporaries, Inc., its agents or employees. |

Client agrees not to entrust David Wood Temporaries employees with cash, negotiable's, valuables, jewelry or other similar property. Client agrees not to advance cash or other valuables to David Wood Temporaries employees, and Client waives any and all right of claim from David Wood Temporaries for the amount of value of any such advances.
Client shall endeavor to provide a suitable place for David Wood Temporaries, Inc. employees to work in the performance of the services to be rendered under this agreement. Customer shall defend, indemnify and save David Wood Temporaries, Inc. harmless from any and all fines, penalties, and assessments, including attorneys’ fees, incurred by David Wood Temporaries, Inc. as a result of any alleged violations of any Federal, State or local law, regulation or ordinance relating to health and safety with respect to premises owned or controlled by Client and to which David Wood Temporaries, Inc. employees are assigned.
